Terms of Service.

These are the terms under which LeaseFlow Ltd provides its case management software to UK law firms. Plain English where possible; precise where it matters.

1. The agreement

These Terms form a contract between LeaseFlow Ltd (company number 15287443, registered office 1 Cinnamon Street, London E1W 3NJ) and the firm subscribing to the LeaseFlow service ("the Firm").

Use of the service by any authorised user (fee-earner, paralegal, partner, support staff) is bound by these Terms. The Firm is responsible for ensuring its authorised users comply.

2. Who can subscribe

LeaseFlow is sold to:

  • SRA-authorised solicitors' firms operating in England & Wales
  • CILEx Regulation Limited regulated practices
  • CLC-regulated licensed conveyancing practices
  • Properly qualified equivalents handling UK leasehold or conveyancing work

The service is not sold to consumers, unregulated parties, or for use outside England & Wales jurisdiction.

3. What we provide

A subscription to LeaseFlow includes:

  • Hosted case management software with statutory date calculations for UK leasehold matters
  • Secure document storage encrypted at rest (AES-256) and in transit (TLS 1.2+)
  • Client portal capability (Pro and Premium tiers)
  • Audit trail with SRA-friendly export
  • Email support, with response times depending on tier

We do not provide legal advice, drafting services, or any reserved legal activity. The supervising solicitor at the Firm remains responsible for all legal advice and SRA compliance.

4. Plans & pricing

Current monthly plans (GBP, exclusive of VAT where applicable):

  • Starter — £49/month — up to 25 active matters
  • Pro — £99/month — up to 100 active matters, client portal
  • Premium — £149/month — unlimited matters, multi-user team management, full white-label

Pricing is subject to change with 30 days' notice via the billing email on the account. Existing subscriptions are price-locked at the rate in effect at signup for 12 months from that date.

5. Free trial

New firms receive a 30-day free trial (first month free). No payment method is collected to start the trial. To continue using LeaseFlow beyond day 30, a paid plan must be selected; otherwise, the account is suspended and data retained for 90 days before deletion.

6. Billing & renewal

  • Billing is monthly, in advance, via Stripe Payments UK Ltd.
  • Subscriptions auto-renew on the same day each month.
  • The Firm can change plan tier at any time via the Stripe Customer Portal; proration applied automatically.
  • Invoices are issued by Stripe and made available in the Customer Portal.
  • VAT is added where the Firm is UK VAT-registered (a valid VAT number must be supplied at signup).

7. Cancellation

The Firm may cancel at any time from the Stripe Customer Portal (Settings → Manage subscription). Cancellation takes effect at the end of the current billing period — no pro-rated refund is given for unused days, but access remains until the period ends.

On cancellation:

  • Matter data is retained for 90 days, allowing the Firm to export or reactivate.
  • After 90 days, all data is permanently and irrecoverably deleted.
  • Earlier deletion can be requested in writing to privacy@leaseflow.uk.

8. Acceptable use

The Firm and its authorised users agree to:

  • Use the service only for legitimate UK leasehold and conveyancing matters
  • Not share login credentials outside the Firm
  • Not upload content the Firm does not have a lawful right to process
  • Not attempt to reverse-engineer, scrape, or load-test the platform without prior written consent
  • Not use the service to send unsolicited communications

We may suspend accounts that materially breach these clauses, with notice where reasonably practicable.

9. Confidentiality

Each party shall keep confidential all non-public information disclosed by the other and shall use it solely for the purposes of performing this agreement. The Firm's matter and client data is treated as confidential and processed in accordance with our Privacy Policy.

10. Service levels

  • Target uptime: 99.9% measured monthly, excluding scheduled maintenance windows announced 48 hours in advance.
  • Scheduled maintenance: capped at 4 hours per calendar quarter, performed outside UK business hours where possible.
  • Support response times: Starter — 1 working day; Pro — 4 working hours; Premium — 1 working hour.
  • Critical incident communication: status updates posted on the platform header and emailed to billing contacts within 30 minutes of detection.

11. Warranties & limitation of liability

LeaseFlow provides software tooling on a "best-effort" basis. Although we maintain our statutory date logic and template library against current law:

  • We do not guarantee accuracy of every statutory date or template — verification remains the supervising fee-earner's responsibility.
  • We do not guarantee delivery of automated client emails or reminders (subject to third-party email-provider availability).
  • We do not replace the Firm's duty to comply with SRA Principles, Codes of Conduct or Accounts Rules.

To the maximum extent permitted by law:

  • Our total liability under this agreement is capped at the fees paid by the Firm in the 12 months preceding the claim.
  • We exclude liability for indirect, consequential, or special losses including lost profits, lost business, or loss of goodwill.
  • Nothing in this clause limits liability for death, personal injury caused by negligence, or fraud.

12. Intellectual property

All intellectual property in the LeaseFlow platform (software, templates, designs, documentation) remains with LeaseFlow Ltd. The Firm receives a non-exclusive, non-transferable licence to use the platform during the subscription term.

All matter data, client data and documents uploaded by the Firm remain the property of the Firm (or its clients, as applicable). We do not claim any rights over Firm content.

13. Termination by us

We may terminate this agreement with 30 days' written notice for material breach (such as repeated non-payment, unauthorised resale, or serious misuse). On termination, the data retention rules in clause 7 apply.

14. Governing law

This agreement is governed by the laws of England & Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England & Wales. Nothing in this clause prevents either party from seeking urgent injunctive relief in any competent court.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to the billing email on the Firm's account at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
